(c) All references herein to "Articles," "Sections" and other subdivisions are <br />to the corresponding Articles, Sections or subdivisions of this Lease Agreement; the words <br />"herein," "hereof," "hereby," "hereunder" and other words of similar import refer to this Lease <br />as a whole and not to any particular Article, Section or subdivision hereof. <br />Section 103. Exhibits <br />Agreement: <br />The following Exhibits are attached to, and by reference made a part of, this <br />Exhibit A: Schedule of Lease Payments to be paid by the City to the <br />Trustee, as assignee of the Authority. <br />Exhibit B-1: Description of the Project. <br />Exhibit B-2: Legal Description of Project Sites. <br />Exhibit C: Addresses for Notices. <br />Exhibit D: Certificate of City Representative. <br />ARTICLE II <br />REPRESENTATIONS, COVENANTS AND WARRANTIES <br />Section 201. Representations, Covenants and Warranties of the City. <br />TheCity represents, covenants and warrants to the Authority as follows: <br />(a) The City is a duly organized and validly existing body corporate and <br />politic of the State of California. <br />(b) The Constitution and the laws of the Staze of Califomia authorize the <br />City to enter into the Lease Agreement and the Site Lease and to enter into the transactions <br />contemplazed thereby and to carry out its obligations under each of the aforesaid Agreements, <br />and the City has duly authorized and executedeach of the aforesaid Agreements in <br />accordance with the laws of the State of Califomia. <br />(c). Neither the execution and delivery of the Lease Agreement or the Site <br />Lease nor the fulfillment of or compliance with the terms and conditions hereof or thereof, <br />nor the consummation of the transactions contemplated hereby or thereby, conflicts with or <br />results in a breach of the terms, conditions or provisions of any restriction or any agreement or <br />instrument to which the City is now a party or by which the City is bound, or constitutes a <br />default under either of the foregoing, or results in the creation or imposition of any lien, <br />charge or encumbrance whatsoever upon any of the property or assets of the City, or upon the <br />Site, except Permitted Encumbrances <br />9497301U.LA1 <br />
