ARTICLE IV <br />AGREEMENT TO LEASE; TERMINATION OF <br />LEASE AGREEMENT; LEASE PAYMENTS; <br />TITLE TO THE PROJECT <br />Section 401. Agreement of Lease. <br />The Authority hereby agrees to lease the Project to the City and the City hereby <br />agrees to lease the Project from the Authority. The lease of the Project by the Authority to the <br />City is made expressly subject to the terms and conditions set forth herein. <br />Section 402. Tetra of Lease Agreement. <br />The Tenn of this Lease Agreement shall commence as of the date hereof and <br />shall end on the Termination Date, unless on such date any Certificates of Participation <br />remain outstanding, in which case this Lease Agreement shall remain in full force and effect <br />while any Bonds are outstanding or unless terminated prior thereto in accordance with [he <br />provisions set forth below. <br />Subject to the right of the City to request and effect a partial release of the <br />Project as provided unde:, and subject to the conditions set forth in, Section 405 and 406 <br />hereof, the Term of the Lease Agreement will terminate upon the eazliest of any of the <br />following events: <br />(a) the payment or prepayment by the City of all Lease Payments and other <br />amounts due during the Term of the Agreement; <br />(b) the occurrence of an event of default under the Lease Agreement, and <br />the termination of the Lease Agreement by the Authority or its assignee pursuant to Section <br />802(iii) hereof; or <br />(c) the Project is taken in whole pursuant to the power of eminent domain <br />and the Lease Agreement is terminated pursuant to Section 509 hereof. <br />Upon notification in writing to the Trustee of the occurrence of an event which <br />will result in termination of the Lease Agreement, Payment Fund will be credited against the <br />Lease Payment obligations or to the Redemption Fund to be applied to redemption of the <br />Bonds. <br />Section 403. Lease Payments. <br />The City agrees to pay to the Authority or its successors and assigns, as rental <br />for the use and possession of the Project, the Lease Payments on the Due Dates and in the <br />amounts specified in Exhibit A hereto, provided that the City shall receive a credit (allocated <br />6 <br />9407301ULA1 <br />
