ARTICLEI DEFINITIONS AND RULES OF CONSTRUCTION Section 101. DeSnitions. The terms used in this Trust Agreement, which are capitalized herein, shall, for the purposes of this Trust Agreement, have the meanings ascribed below. "Agreements" mean, collectively, the Lease Agreement and the Trust Agreement. "Authorized Officer" when used with respect to the Authority, means the Chair, Vice Chair, Bxeeutive Director, Treasurer, or Secretary of the Authority or any other officers of the Authority designated by the Authority as an Authorized Officer for purposes of the Agreements. The term "Authorized Officer," when used with respect to the City, means the City Representatives specified in the Lease Agreement. The tens "Authorized Officer,". when used with respect to the Tms[ee, means [he chairman of the board of directors, the president, every vice president, every assistant vice president, the cashier, every assistant cashier, every tmst officer and every other officer and assistant officer of the Tmstee, other than those specifically above mentioned, to whom any trust matter is referred because of his knowledge of and familiarity with, a particular subject. "Business Day" means any day of the year other than a Saturday, a Sunday or a day on which the Trustee is not open for business. "Bonds" mean the Bonds of the Authority executed and delivered pursuant to this Trust Agreement. "City" mean the City of Pleasanton, which has executed and delivered the Lease Agreement. "Closing Date" means the date when the Bonds ,duly authenticated by the Tnrstee, are initially delivered to the original purchaser thereof. "Code" means the Internal Revenue Code of 1986, as amended, including regulations, mlings and judicial decisions promulgated thereunder and rendered in connection therewith. - "Delivery Costs" means all items of expense directly or indirectly payable by or reimbursable to the City or the Authority relating to the refinancing of the Project, including but not limited m filing costs, settlement costs, printing costs, reproduction and binding costs, initial fees and charges of the Trustee and its counsel, financing discounts, insurance premiums and outside legal fees of the insurer relating thereto, if any, legal fees and charges, financial and other professional consultant fees, costs of rating agencies for credit ratings, fees 2 940G901M.LAI
