EXHIBIT A <br /> <br />Administrative services shall be provided to the Authority by the Cities of Livermore and <br />Pleasanton as follows: <br /> <br />Personnel. Personnel (such as benefits and payroll) and workers compensation matters <br />shall be administered by the City of Pleasamon. <br /> <br />2. Legal Services <br /> <br />For purposes of attorney-client privilege, the Authority shall have an attorney- <br />client relafionnhlp with the City Attorneys' offices of both Livenore and <br />Pleasanton, but the Pleasanton City Attomey's office shall, in consultation with <br />the Livemore City Attomey's office, handle legal issues related to personnel <br />matters (including the decision to hire outside counsel). <br /> <br />For settlements of lawsuits involving the Authority, the approval of both cities <br />shall be required. <br /> <br />For purposes of work distribution, the Livermore City Attomey's office shall <br />handle legal issues related to City of Livermore ordinances. The Pleasanton City <br />Attorney's office shall handle legal issues related to City of Pleasanton <br />ordinances. <br /> <br />Finance.
