1. FEE. LICENSEE, without previous demand, shall pay LICENSOR for <br />the use of said premises the sum of Three Hundred and 00 /100 Dollars <br />($300.00), payable in advance for the term of one year commencing February <br />1, 1993. <br />2. NATURE OF USE. LICENSEE shall use real property for daily parking <br />of vehicles and incidents thereto within described County highway. <br />3. CONDITIONS. This license is conferred on the following condi- <br />tions, to wit: <br />a. It is fully understood and agreed that this License Agreement <br />does not grant to the LICENSEE any interest in the subject <br />highway and real property on which said highway is located, <br />that it is temporary only, nonassignable and nontransferable. <br />b. LICENSEE agrees not to commit or permit the commission of any <br />kind of nuisance on or to the subject highway and to comply <br />with all reasonable rules, regulations and management <br />policies now or hereafter established by the COUNTY. <br />c. LICENSEE agrees that COUNTY, its agents or employees shall <br />have the right and ability to enter and cross the area to <br />make repairs or construct at all times. <br />d. It is further agreed that failure by LICENSEE to pay <br />punctually any charges hereunder, when due, or any breach of <br />any other conditions of this License Agreement, shall, at the <br />option of COUNTY terminate the privileges of the LICENSEE <br />hereunder, and thereupon the COUNTY, its representatives, <br />employees or agents shall have the right, without further <br />demand or notice, to enter and take exclusive possession of <br />the premises. The LICENSEE hereby waives any and all notice <br />and demand for possession and agrees that, upon such failure <br />or breach, COUNTY may immediately enter and remove LICENSEE <br />and its property without legal notice or the institution of <br />any legal proceedings whatsoever. <br />e. It is understood and agreed that the LICENSEE, at its sole <br />cost and expense, may chip seal the Licensed area along with <br />installing necessary drainage, parking meters and /or related <br />parking control signs. The LICENSEE shall place no structure <br />of a per anent nature un the licensed area. <br />f. LICENSEE shall sign the property to prevent overnight parking <br />of vehicles including but not limited to trailers, motor <br />homes and campers and keep the licensed area free from aban- <br />doned vehicles. <br />g. <br />LICENSEE shall keep the licensed area clean and neat and free <br />from debris. <br />h. COUNTY agrees to work with the LICENSEE to accommodate <br />LICENSEE continued use of the property for parking at such <br />time rails and ties are re- installed within the licensed <br />area in connection with either a transit use or use by an <br />operating railroad museum. <br />-2- <br />
