10. Indemnification. Either Party agrees to defend, indemnify, and hold the other <br /> Party harmless from and against any and all claims, demands, or liability <br /> associated with that Party's obligations under this Agreement that may be brought <br /> by a third Party. <br /> 11. Severability. All provisions of this Agreement are material and are collectively <br /> indispensable to this Agreement, and if one or more of such provisions are held <br /> invalid or otherwise rendered ineffectual or unenforceable, this Agreement will <br /> fail to fulfill its purposes and will thereby terminate in its entirety without any <br /> further action of any of the parties. Should this Agreement be terminated <br /> pursuant to the preceding sentence or in any manner other than the mutual <br /> consent of the Parties, all funds transferred and / or remitted in accordance with <br /> Section 4 shall be repaid by the Parties and returned to the Regional Expansion <br /> Fund. <br /> 12. Paragraph Headings.
