Section 5.4 Headings. <br /> The headings in this Agreement are solely for the convenience of the parties and <br /> do not form a material part of this Agreement. Headings are not to be considered in the <br /> construction of this Agreement. <br /> Section 5.5 Third -Party Beneficiaries. <br /> Notwithstanding the parties' recognition that services provided pursuant to this <br /> Agreement may benefit members of the public, and except for all other Members of the <br /> Consortium, there are no third -party beneficiaries to this Agreement. <br /> Section 5.6 Amendments. <br /> (a) No amendment or modification to this Agreement is valid unless <br /> made in writing and approved and signed by the parties. <br /> (b) Notwithstanding subsection (a) above, should it become necessary <br /> to change the language of this Agreement to obtain HUD approval, without making major <br /> changes and without altering the intent of this Agreement, such changes may be made <br /> administratively with the written consent of both the City Manager of the City, on behalf <br /> of the City, and the Housing Director of the Alameda County Housing and Community <br /> Development Department, on behalf of the Lead Member. <br /> [THE REMAINDER OF THIS PAGE IS INTENTIONALLY BLANK] <br /> Alameda County and City of Pleasanton <br />
