Partnership Expenses related to the transaction, (c) application <br /> of the refinancing proceeds for the uses for which they were <br /> procured, (d) deduction of amounts for Reserves, (e) repayment of <br /> any loans from Partners, including those under Section 5.7, and <br /> (f) payment of outstanding fees due pursuant to Section 7.5 and <br /> 7.8(b). <br /> Cash From Sales. The net cash the Partnership realizes <br /> from the sale or other disposition of the Development, or from <br /> insurance proceeds paid for damage to or destruction of the <br /> Development, or due to any award paid on account of a taking of <br /> the Development by eminent domain, after (a) retirement of debt <br /> secured by the Development or the portion thereof sold, damaged <br /> or taken, (b) payment of all Partnership Expenses related to the <br /> transaction or event, including the cost of any repairs or <br /> reconstruction, (c) repayment of any loans from Partners, <br /> including those under Section 5.7, (d) deduction of amounts for <br /> Reserves, and (e) payment of outstanding fees due pursuant to <br /> Section 7.5 and 7.8(b). <br /> City. The City of Pleasanton. <br /> Code. The Internal Revenue Code of 1986, as amended, and <br /> the regulations promulgated thereunder, and any published <br /> rulings, procedures and notices thereunder. <br /> Contribution. Any payments as they are paid which a <br /> Partner contributes to the Partnership capital in his capacity as <br /> a Partner. All Contributions shall be made in cash. <br /> Development.
