6.10. Effect of Distribution. <br /> Notwithstanding anything to the contrary contained in <br /> this Section 6, the Partnership shall not make a Distribution <br /> if, immediately after the Distribution, Partnership liabilities <br /> (other than liabilities to Partners on account of their <br /> Partnership interests and liabilities as to which the creditors' <br /> recourse is limited to the Partnership property) would exceed the <br /> fair market value of the Partnership property; provided, however, <br /> that the fair market value of any Partnership property that is <br /> subject to a liability as to which the creditors' recourse is <br /> limited to that Partnership property shall be included only to <br /> the extent that the fair market value of the Partnership property <br /> exceeds the liability. Any Partner who receives a Distribution <br /> made in violation of this Section 6 shall promptly return the <br /> Distribution to the Partnership. <br /> 6.11. Form of Distribution. <br /> No Partner shall have any right to receive any Partnership <br /> property other than cash upon a Distribution, except as <br /> specifically provided in this Agreement. A Partner shall not be <br /> compelled to accept a Distribution of Partnership property other <br /> than cash in lieu of a proportionate Distribution of cash being <br /> made to other Partners. <br /> 6.12. Minimum Allocation to General Partner. <br /> Notwithstanding anything to the contrary in this Section 6, <br /> except for Sections 6.4, 6.5, 6.6 and 6.8, the General Partner <br /> -26- <br />
