(ii) As compensation for the past services of the City <br /> in connection with the development of the Development on behalf <br /> of the Partnership, the Partnership shall pay to the City a <br /> Development Fee of $1,775,000 payable in accordance with the <br /> schedule set forth on Exhibit K. <br /> (b) Operating Deficit Funding Fee. For the services of <br /> the City for agreeing pursuant to the Operating Deficit Funding <br /> Agreement to make payments to the Partnership as necessary to <br /> cover certain operating deficits of the Partnership through the <br /> fifteenth year that the Development is occupied, the Partnership <br /> shall pay to the City an Operating Deficit Funding Fee of <br /> $225,000, which shall be payable in accordance with the schedule <br /> set forth on Exhibit K. <br /> (c) Rentup Supervision Fee. As compensation for the <br /> services of Eden in overseeing the performance of the property <br /> manager in initially leasing the units in the Development for the <br /> period July 1, 1989 through December 31, 1989, the Partnership <br /> shall pay Eden a rentup supervision fee of $200,000, which <br /> shall be payable in accordance with the schedule set forth on <br /> Exhibit K. <br /> (d) Partnership Management Fee. As compensation for the <br /> services of the General Partner in managing the affairs of the <br /> Partnership, the General Partner shall receive a Partnership <br /> Management Fee of $16,000 for each calendar year which shall be <br /> payable in accordance with the schedule set forth in Exhibit K. <br /> In the event the General Partner ceases to be a general partner <br /> for any reason, no further amounts shall be due the General <br /> -32- <br />
