(f) the execution of the Agreement, the incurrence of the <br /> obligations set forth in the Agreement, and the consummation of <br /> the transactions contemplated by the Agreement do not violate the <br /> Partnership, any order of any court binding on the General <br /> Partner, or any of its Affiliates or any provision of any <br /> indenture, agreement, or other instrument to which the <br /> Partnership, the General Partner or any of its Affiliates are a <br /> party or by which the Partnership or the Development is affected; <br /> (g) all insurance policies which will be for the benefit of <br /> the Partnership including, but not limited to public liability <br /> and worker's compensation, are in full force and effect, and all <br /> insurance policies in favor of the Partnership are in at least <br /> the amounts required by the Mortgages as set forth in Exhibit F, <br /> and any regulatory agreements; <br /> (h) all rental charges and security deposits with respect to <br /> dwelling units in the Development are and will be in compliance <br /> with any applicable governmental regulations, with the regulatory <br /> agreements with the Ground Lease, and with Section 42 of the <br /> Code, and Section 23610.5 of the California Code, with respect to <br /> all of the residential units; <br /> (i) the Partnership is a validly existing limited <br /> partnership, duly organized under the laws of the State of <br /> California, in accordance with all requirements of the Revised <br /> Limited Partnership Act of California with full power and <br /> authority to operate and maintain the Development in accordance <br /> with the terms of the Agreement; <br /> -40- <br />
