released from all liability to the General Partner and its <br /> Affiliates generally and to any others to whom loan, fee or other <br /> payments are to be made under Section 5.7, Section 7.5, Section <br /> 7.8 or otherwise. Concurrently with such payment, the General <br /> Partner shall provide the Partnership with additional written <br /> releases from all such parties reconfirming such releases. <br /> SECTION 9: RECORDS, REPORTS AND ACCOUNTS <br /> 9.1. Books and Records. <br /> The General Partner shall keep at the Partnership's <br /> principal executive office all of the following Partnership <br /> documents: <br /> (a) A current list of the full name and last known business <br /> or residence address of each Partner, together with the <br /> Contributions and Percentage Interest of each Partner. <br /> (b) A filed copy of the Partnership's certificate of limited <br /> partnership and all certificates of amendment thereto, together <br /> with executed copies of any powers of attorney pursuant to which <br /> any certificate has been executed. <br /> (c) Copies of the Partnership's federal, state and local <br /> income tax or information returns and reports, if any, for the <br /> six most recent taxable years. <br /> (d) An original copy of this Agreement and all amendments <br /> hereto. <br /> (e) Financial statements of the Partnership for the six most <br /> recent taxable years. <br /> -49- <br />
