Such authority may be <br />general or confined to specific contracts or instruments. <br />Unless so authorized,'no officer or any other person shall have <br />any power or authority to bind the Corporation by any contract <br />or other engagement, or to pledge its credit, or to render it <br />liable for any purpose in any amount. <br />Section 5. Corporate Seal. The corporate seal shall <br />be circular in form, and shall have inscribed thereon the name <br />of the Corporation, the date of its incorporation, and the word <br />"California." <br />Section 6. Construction and Definitions. Unless the <br />context otherwise requires, the general provisions, rules of <br />construction and definitions contained in the California Non - <br />Profit Public Benefit Corporation Law shall govern the <br />construction of these By -Laws. <br />Section 7. Filing Statement of Corporate Officers. In <br />compliance with Section 6210 of the California Non - Profit <br />Public Benefit Corporation Law, the secretary or assistant <br />secretary, if such be appointed, of the corporation, shall file <br />annually with the Secretary of State of the State of <br />California, on the form prescribed therefor, a statement of the <br />names and complete business or residence addresses of its <br />president, vice president, secretary and chief financial <br />officer, together with a statement of the location and address <br />of its principal office and the name and address of the person <br />designated as agent for service of process upon the <br />corporation. <br />-13-- <br />
