Debtor agrees that at the option of Lender, Lender shall be entitled to <br />apply for and obtain the appointment of a receiver of Debtor's business, <br />properties and interests, or any thereof, the net proceeds of such receivership <br />after the expenses thereof to be applied first to the indebtedness and <br />obligations secured hereby. <br />SECTION 5: MISCELLANEOUS <br />5.01 CONTROLLING LAW; ASSIGNMENTS. This Agreement and indebtedness and obliga- <br />tions hereby secured are subject to the laws of the State of California. All <br />rights of Lender hereunder extend to its successors and assigns and to the holder <br />of any note evidencing indebtedness hereby secured. Obligations of Debtor <br />hereunder extend to and are binding upon Debtor's successors and assigns. <br />5.02 RIGHTS AND REMEDIES CUMULATIVE. All rights and remedies granted to Lender <br />herein are cumulative and are in addition to all rights and remedies set forth in <br />the Loan Agreement and documents executed pursuant thereto. <br />5.03 SURVIVAL OF SECURITY INTEREST. It is understood and agreed that the <br />security interests and assignments granted and conveyed hereunder shall survive <br />the closing of any permanent loan (notwithstanding satisfaction of the Notes <br />executed by Debtor and notwithstanding Lender's release or reconveyance of the <br />Deed of Trust on the Premises) if any monies advance by Lender on account of the <br />Premises or relating thereto remain unpaid. <br />5.04 STATUTE OF LIMITATIONS. The right to plead any and all statutes of limita- <br />tions as a defense to any demand secured by this Agreement is hereby waived to <br />the full extent and longest period allowed by law. <br />5.05 THE PREMISES.
