Section 4.5. Execution in Counterparts <br />This Agreement may be executed in any number of counterparts. All such <br />counterparts shall be deemed to be originals and together shall constitute one <br />and the same instrument. <br />Section 4.6. Table of Contents; Titles and Headings <br />Any table of contents, the title of any Articles, and headings of the sections <br />and subsections set forth herein are not a part of this Agreement and shall not <br />be deemed to affect the meaning or construction of any of its provisions. <br />12 <br />Section 4.7. Rules of Interpretation <br />(A) This Agreement shall be interpreted in accordance with and governed by <br />the laws of the State where the Project is located. <br />(B) The words "herein" and "hereof" and words of similar import, without <br />reference to any particular section or subdivision, refer to this Agreement <br />as a whole rather than to any particular section or subdivision hereof. <br />(C) In the event that any section, provision, or clause of this Agreement is <br />determined to be inconsistent with the Grant Agreement, the Grant <br />Agreement shall control. <br />(D) Any Amendment to this Agreement executed in accordance with Section <br />3.6 of this Agreement shall have the same force and effect upon the <br />Owner and the Grantee as does this Agreement. <br />
