RECITALS: 19:MGMTAGR.EHI (12/18/89) 1 MANAGEMENT AGREEMENT This Management Agreement (the "Agreement ") is made as of this 31st day of October, 1989, by and between Ridge View Commons Associates, a California Limited Partnership (the "Owner ") and EHI Property Management Services, Inc., a California corporation (the "Agent ") to provide management services for a rental housing development (the "Development ") further described in Section 1. A. Pursuant to the Ground Lease between the Owner and the City of Pleasanton, the Owner shall operate the Development, which consists of all the land, buildings, other improvements and funds or property of whatever kind or nature committed to the Development. B. The California Housing Finance Agency, a public instrumentality and a political subdivision of the State of California, is financing the Development pursuant to a first and second mortgage loan to the Owner. See Section 27. C. The City of Pleasanton, California, a municipal corporation, is financing the Development pursuant to a third mortgage loan to the Owner, and is the lessor of the Development pursuant to a Ground Lease between the City of Pleasanton and the Owner. See Section 27. NOW, THEREFORE, the parties hereto agree as follows: 1. The Development. Name: Ridge View Commons Office Address: 5200 Case Avenue City: Pleasanton County: Alameda No. of Units: 198 Elderly; 2 Manager's CHFA No: 87 -007 -N Development's Fiscal Year: January 1 to December 31. 2. Definitions. As used in this Agreement: (a) "City" means the City of Pleasanton, California. (b) "CHFA" means the California Housing Finance Agency. (c) "Ground Lease" means the Ground Lease dated June 1, 1988, between the City as the lessor and Owner as the lessee, as amended. (d) "HDG" means the Housing Development Grant. (e) "HDG Covenants" means the Housing Development Grant Covenants between the City and Owner and recorded in the Official Records of Alameda County. (f) "HDG Owner /Grantee Agreement" means the Housing Development Grant Owner /Grantee Agreement between the City and Owner.
