ESTOPPEL CERTIFICATE The undersigned is the lessor of that certain Ground Lease dated June 1, 1988 between the City of Pleasanton, as Lessor, and Eden Housing, Inc., as Lessee, recorded against all that property described in Exhibit A attached hereto, which Ground Lease is disclosed by that certain instrument recorded June 9, 1988 as Instrument No. 88- 138518 of Official Records of Alameda County, as amended by that instrument recorded June 30, 1988 as Instrument No. 88- 157652 of Official Records, and further amended by that Second Amendment to Ground Lease dated October 31, 1989. Said Ground Lease, as amended, was assigned by Eden Housing, Inc. to Ridge View Commons Associates, a California Limited Partnership by that Assignment of Lease dated October 31, 1989 and recorded November 14, 1989 as Instrument No. 89- 308001 of Official Records. The above - referenced Ground Lease, amended and assigned, is hereinafter referred to as the "Ground Lease." The undersigned hereby certifies, in consideration of the sum of One Dollar ($1) and other good and valuable consideration, the receipt whereof is hereby acknowledged, and to induce California Housing Finance Agency, and any of its transferees, successors or assigns, to make its permanent loans to Ridge View Commons Associates, a California Limited Partnership, the Lessee, that (a) all provisions of said Ground Lease are in full force and effect and (b) there are no defaults by the undersigned or the Lessee under the provisions of said Ground Lease.
