5. Attorneys' Fees. The prevailing party in any <br />proceeding arising out of this Agreement shall be entitled to <br />recover from the non - prevailing party or parties all reasonable <br />costs and expenses incurred in the proceeding, including <br />attorneys' fees. <br />6. Successors.
