Deed of Trust or any other contract, note or instrument executed <br />by Borrower in favor of the Agency because of any alleged <br />offsetting claim or cause of action against the Agency (or any <br />indebtedness or obligation of the Agency) which has not been <br />confirmed in a final judgment of a court of competent jurisdiction <br />(sustained on appeal, if any) against the Agency, and Borrower <br />hereby waives any such rights of set -off (or offset) which it <br />might otherwise have with respect to any such claims or causes of <br />action against the Agency or any such obligations or indebtedness <br />of the Agency, unless and until such right of set -off (or offset) <br />is confirmed and liquidated by such final judgment. Borrower <br />further waives any right which it might otherwise have (if any) to <br />require a marshalling of any security of the Agency or to direct <br />the order in which the Agency pursues its rights or remedies with <br />respect to any of its security. <br />IN WITNESS WHEREOF, Borrower has executed this Deed of Trust <br />on the day and year set forth above.
