Agreement shall impart such notice thereof to all persons as is <br />afforded by the recording laws of this State. <br />14. Relationship of Parties; Hold Harmless. <br />a) It is understood and agreed that the <br />contractual relationship between the City and Properties and <br />Peripheral is such that the latter are independent contractors <br />and in no case agents of the City. <br />b) Properties and Peripheral, each as to the <br />respective real property owned by it, agree to and shall hold <br />the City, its officers, agents, employees and representatives <br />harmless from, and shall defend the City and such other persons <br />against, liability for damage or claims for damage for personal <br />injury (including death) and claims for property damage which <br />may arise from the actions of Peripheral or Properties, or <br />those of their respective contractors, subcontractors, agents, <br />employees or other persons acting on their behalf which relate <br />to the real property covered by this Agreement; provided, <br />however, that the foregoing shall not extend to any negligent <br />or willful acts or failures to act committed by the City, its <br />officers, agents, employees or representatives, and for which <br />the City or any such other person would otherwise be legally <br />liable. <br />15. Successors. The burdens of this Agreement shall <br />be binding upon, and the benefits of this Agreement shall inure <br />to the benefit of, all successors in interest to the parties <br />hereto, including any successor in interest to all or any <br />portion of the Shopping Center Property or the Peripheral <br />Property. <br />16. Estoppel. Eac~~ patty recognizes and confirms <br />that each other party is entitled reasonably to expect that <br />7-
