21. No consent of either Lessor or Lessee is required for the Beneficiary Parties to exercise any and all rights and remedies under the Financing Documents and/or the Certificate Documents. 22. Nothing contained herein in this Agreement shall constitute any Beneficiary Party as a joint venturer or partner of Lessor or Lessee. 23. This Agreement may be executed in any number of counterparts, each of which counterparts shall be deemed to be an original and all of which together shall constitute but one and the same Agreement. 24. The covenants and agreements herein contained shall bind Lessor, Lessee and their respective successors and assigns, and shall inure to the benefit of the Beneficiary Parties and their successors and assigns; provided, however, that the provisions of this Agreement shall not terminate prior to the Maturity Date (as defined in the Security Instrument) and shall remain effective only for so long as any obligation is outstanding under the Financing Documents. 25. This Agreement shall be governed by and construed in accordance with the laws of the State of California without giving effect to the conflict of law principles of said State. 26. This Agreement shall constitute notice to Lessor of the Financing and the Beneficiary Parties' interest therein, and of the Beneficiary Parties' written request to receive all notices sent to Lessee.
