LEASE TERMINATION AGREEMENT <br /> This Lease Termination Agreement ("Agreement") is made and entered into as of <br /> July 11, 2012, between GTE Mobilnet of California L.P., a California limited partnership <br /> d/b/a Verizon Wireless ("Verizon Wireless"), and the City of Pleasanton, California <br /> ("City"), on the terms set forth below. Verizon Wireless and City are sometimes referred <br /> to herein individually as a"Party" and collectively as the "Parties." <br /> Recitals <br /> The Parties enter into this Agreement with respect to the following facts: <br /> A. Verizon Wireless and the City are parties to that certain Option and Land <br /> Lease Agreement dated August 9, 2010, for a wireless facility at the City's sewer pump <br /> station at 6890 Koll Center Parkway (the"Existing Lease"). <br /> B. At the City's request, Verizon Wireless has agreed, subject to the terms of <br /> this Agreement, to relocate the wireless facility it intended to install pursuant to the <br /> Existing Lease to the City-owned water tank site located on Santos Ranch Road (APN <br /> 941-2100-002-06), in unincorporated Alameda County (the "Alternate Site"). <br /> C. Concurrently with the execution of this Agreement, the Parties have <br /> executed a lease for the Alternate site in the form attached hereto as Exhibit A (the "New <br /> Lease"). <br /> D. As set forth in more detail below, the Parties have agreed that the New <br /> Lease will supersede and replace the Existing Lease, so that neither Party will have any <br /> further rights under the Existing Lease. <br /> Agreement <br /> NOW THEREFORE, in consideration of the execution of this Agreement, and <br /> other good and valuable consideration, the receipt and sufficiency of which is <br /> acknowledged, and subject to the terms and conditions hereof, the Parties hereby agree as <br /> follows: <br /> 1. Termination of Existing Lease. <br /> Upon full execution of the New Lease, the Existing Lease shall automatically <br /> terminate and all rights and obligations of the Parties under the Existing Lease shall be <br /> extinguished. Thereafter, neither Party shall make any claim or demand on the other with <br /> respect to the Existing Lease. <br /> 1 <br />
