2. 2 Prior Agreements . This Agreement shall not be con- <br /> strued to modify or supersede any of the Prior Agreements, <br /> and the Prior Agreements shall not be construed to be part <br /> of this Agreement. Both parties hereby reaffirm all of the <br /> Prior Agreements. <br /> 2. 3 supersedure By Subsequent State or Federal Laws or <br /> Regulations . In the event that state or federal laws or <br /> regulations, enacted after this Agreement has been entered <br /> into, prevent or preclude compliance with one or more provi- <br /> sions of the Agreement, such provisions of the Agreement <br /> shall be modified or suspended as may be necessary to comply <br /> with such state or federal laws or regulations. Notwith <br /> standing the foregoing, Developer shall have the right to <br /> challenge the law or regulation preventing compliance with <br /> the terms of this Agreement and, in the event such chall.en e <br /> is successful, the Agreement shall remain unmodified and in <br /> tull torce and effect. <br /> 3. TERM. <br /> The term of this Agreement shall commence on the ettec- <br /> tive date of the ordinance adopting this Agreement and shall <br /> terminate December 31, 1996 , unless sooner terminated or <br /> extended as hereinafter provided. <br /> 13. <br />
