Pleasanton Police Department, and pay for all costs of the vendor's pharmaceutical <br /> waste transport and disposal. <br /> Any contract DSRSD enters into with a vendor for the transportation and disposal <br /> of pharmaceutical waste shall contain a provision that the vendor will indemnify the City <br /> of Pleasanton against all claims, costs and liability for any damages, including <br /> consequential damages, from any cause arising directly or indirectly from the service <br /> provided under the contract, except when arising from the City's active negligence or <br /> willful misconduct. The contract between DSRSD and the vendor will also contain a <br /> provision requiring the vendor to have general liability insurance and name the City of <br /> Pleasanton as an additional insured as to all services performed by the vendor under <br /> the contract. The contract between DSRSD and the vendor shall also require the <br /> vendor to obtain and maintain in force a City of Pleasanton business license. <br /> Section 4. The Pleasanton Police Department will supervise and manage the <br /> collection of pharmaceutical waste at 4833 Bernal Ave, Pleasanton, CA, 94566. The <br /> Pleasanton Police Department will remove the pharmaceutical waste from the collection <br /> containers and temporarily store pharmaceutical waste at the Pleasanton Police <br /> Department, 4833 Bemal Ave, Pleasanton, CA, 94566, California, until collection by the <br /> disposal vendor, and City shall bear all costs associated with these activities. <br /> Section 5. The City and DSRSD will-cooperate to conduct periodic evaluations <br /> and maintain such records and logs as they deem appropriate to determine types, <br /> quantities and other information about the pharmaceutical waste collected under this <br /> Agreement. <br /> Section 6. The City and DSRSD will meet regularly to assess and investigate <br /> ways to improve the effectiveness of the collection of pharmaceutical waste under this <br /> Agreement. <br /> Section 7. The City and DSRSD will cooperate to promote the pharmaceutical <br /> waste collection program to Alameda County residents. All such costs of promotion to <br /> Pleasanton residents will be shared by the City and DSRSD, and such costs of <br /> promotion to Alameda County residents shall be borne by DSRSD. <br /> Section 8. Except as otherwise specified herein, each Party shall be responsible <br /> for all costs and liabilities to the extent arising from or related to its actions or omissions <br /> under this Agreement. <br /> Section 9. DSRSD agrees to indemnify and hold harmless the City of <br /> Pleasanton for DSRSD's share of any and all claims, costs and liability for any damage, <br /> injury or death of or to any person or the property of any person, including attorneys' <br /> fees, to the extent arising out of the willful misconduct or the negligent acts, errors or <br /> omissions of DSRSD, its officers or employees in the performance of this Agreement. <br /> Section 10; The City of Pleasanton agrees to indemnify and hold harmless <br /> DSRSD for the City's share of any and all claims, costs and liability for any damage, <br /> injury or death of or to any person or the property of any person, including attorneys'. <br /> fees, to the extent arising out of the willful misconduct or the negligent acts, errors or <br /> omissions of the City, its officers or employees in the performance of this Agreement <br />
