0 C-as-6 <br /> FIRST AMENDMENT TO <br /> CONSERVATION EASEMENT MONITORING AGREEMENT <br /> This First Amendment to the Conservation Easement Monitoring Agreement ("First <br /> Amendment") is entered into this 2ZNfiay of January 2009 by the City of Pleasanton, a <br /> municipal corporation ("City") and the Tri-Valley Conservancy, a California nonprofit <br /> corporation ("TVC"). <br /> RECITALS <br /> Whereas, on June 21, 2005, the City and TVC entered into the Conservation Easement <br /> Monitoring Agreement for TVC to provide monitoring and reporting services for the City <br /> regarding the Ruby Hill development in Pleasanton ("Agreement"); and <br /> Whereas, the parties desire to extend the term of the Agreement. <br /> Now, therefore, in exchange for valuable consideration, the parties agree as follows: <br /> A. Section 2 of the Agreement, "Compensation." is amended to provide that TVC shall <br /> provide monitoring and reporting services to the City for the Ruby Hill development for an <br /> additional five (5) years, covering the reporting periods of 2009-2013. Annual costs charged to <br /> the City shall continue to increase by one hundred dollars ($100) each year as provided in <br /> Exhibit B of the Agreement. <br /> B.
