WHEREAS,Mathew Zaheri(Developer)has entered into a Mass Grading Agreement with the City of Pleasanton dated October[ 21t ,2014 (Mass Grading Agreement),and General Contractor acknowledges that it has received a copy of the Mass Grading Agreement; and WHEREAS,General Contractor has entered into an contract with Developer to carry out the work set forth in that Mass Grading Agreement; and WHEREAS, as required by the Mass Grading Agreement,General Contractor is required to indemnify the City and provide insurance for claims arising from the General Contractor's work as described in the Mass Grading Agreement; NOW,THEREFORE,the parties agrees as follows: I. Indemnification. General Contractor shall indemnify, save and hold harmless from and defend the City,members of the City Council and their agents and employees, against any and all claims,costs,demands,causes of action, suits,losses,expense or other detriment or liability arising from or out of acts or omissions of General Contractor, its agents,sub- contractors,officials or employees,in connection with the execution of the work covered by the Mass Grading Agreement or any amendments thereto. 2. Insurance. General Contractor shall provide the insurance as described in Section 10 of the Mass Grading Agreement. The parties have executed this Agreement the date written above.
