Exhibit A <br /> Indemnification Agreement <br /> between General Contractor for Mathew Zaheri and the City of Pleasanton <br /> THIS INDEMNIFICATION AGREEMENT(Agreement)is entered into <br /> 419111 �2o iS �&}4, byfrzniart F Gavin Come, ^,n c--(General Contractor),a <br /> , and the City of easanton, a municipal corporation(City). <br /> WHEREAS,Mathew Zaheri(Developer)has entered into an Off-Site Improvement <br /> Agreement with the City of Pleasanton dated NO v are! ,2014(Off-Site Improvement <br /> Agreement),and General Contractor acknowledges that it has received a copy of the Off-Site <br /> Improvement Agreement; and <br /> WHEREAS, General Contractor has entered into an contract with Developer to carry out <br /> the work set forth in that Off-Site Improvement Agreement; and <br /> WHEREAS,as required by the Off-Site Improvement Agreement, General Contractor is <br /> required to indemnify the City and provide insurance for claims arising from the General <br /> Contractor's work as described in the Off-Site Improvement Agreement; <br /> NOW,THEREFORE,the parties agrees as follows: <br /> 1. Indemnification. General Contractor shall indemnify, save and hold harmless <br /> from and defend the City,members of the City Council and their agents and employees,against <br /> any and all claims,costs,demands,causes of action,suits, losses,expense or other detriment or <br /> liability arising from or out of acts or omissions of General Contractor,its agents, sub- <br /> contractors,officials or employees,in connection with the execution of the work covered by the <br /> Off-Site Improvement Agreement or any amendments thereto. <br /> 2. Insurance.
