City and Kottinger Gardens Phase 1 Associates, L.P.,a California limited <br /> partnership ("Developer")entered into that certain Affordable Housing Loan Agreement dated <br /> as of March 1, 2016 (the "Loan Agreement") concerning the development of certain real <br /> property located in the City of Pleasanton,Alameda County, California and more particularly <br /> described in Exhibit A attached hereto (the "Property"). Capitalized terms used herein without <br /> definition shall have the meaning ascribed to such terms in the Loan Agreement. <br /> B. Pursuant to Section 5.12 of the Loan Agreement,the City is required to furnish <br /> the Developer or its successors with a Certificate of Completion upon completion of <br /> development of the Project in accordance with the Loan Agreement. <br /> C. The City has determined that the development of the Project has been <br /> satisfactorily completed in accordance with the Loan Agreement. <br /> NOW,THEREFORE, City hereby certifies as follows: <br /> 1. Development of the Project has been satisfactorily completed in conformance <br /> with the Loan Agreement. <br /> 2. All indemnity, use, maintenance, and nondiscrimination covenants contained in <br /> the Loan Agreement shall remain in effect and enforceable in accordance with the Loan <br /> Agreement. This Certificate does not constitute evidence of Developer's compliance with those <br /> covenants in the Loan Agreement that survive the issuance of this Certificate, including without <br /> limitation, compliance with the Affordable Housing Regulatory Agreement and Declaration of <br /> Restrictive Covenants entered into pursuant to the Loan Agreement and recorded in the Official <br /> Records on , 20_as Instrument No. Book , Page . <br /> OAK#4822-6539-6013 v6 47 <br />
