b) Notwithstanding anything to the contrary contained in the HOME Loan <br /> Documents,transfers and assignment of interests in the Project, Assignee's interest in the <br /> Property, and the interests held by the Investor Limited Partner and Assignee's general partner <br /> shall be governed by the provisions of Article VIII of the New LIHF Loan Agreement. <br /> c) Any notices required to be provided to Borrower shall also be concurrently sent to <br /> the Investor Limited Partner at the following address: <br /> MUFG Union Bank,N.A. <br /> 200 Pringle Avenue, Suite 355 <br /> Walnut Creek, CA 94596 <br /> Attention CDF Head <br /> 10. Effective Date. The assignment and assumption set forth above shall be effective as of <br /> the date of this Agreement set forth above. <br /> 11. Counterparts. This Agreement may be signed by different parties hereto in counterparts <br /> with the same effect as if the signatures to each counterpart were upon a single instrument. All <br /> counterparts shall be deemed an original of this Agreement. <br /> 12. Additional Documents. The Assignor, the Assignee and the City agree to execute or <br /> provide such documents and instruments, as may be necessary to effectuate the intent of this <br /> Agreement. <br /> 13. Governing Law. This Agreement shall be governed by and construed in accordance with <br /> the laws of the State of California. <br /> 4 <br />
