(1) is in fact independent according to the Statement of Auditing Standards <br /> No 1 and not under the domination of the Authority, <br /> (2) does not have a substantial financial interest, direct or indirect, in the <br /> operations of the Authority; and <br /> (3) is not connected with the Authority as a member, officer or employee of <br /> the Authority, but who may be regularly retained to audit the accounting records of and <br /> make reports thereon to the Authority <br /> "Information Services" means the Municipal Securities Rulemaking Board's <br /> Electronic Municipal Market Access system at www emma msrb org, or, such other service <br /> designated in accordance with then-current guidelines of the Securities and Exchange <br /> Commission, such other services providing information with respect to called bonds, or no such <br /> services, as the Authority may designate in a Certificate delivered to the Trustee <br /> "Installment Salle Payments" shall have the meaning ascribed to such term in the <br /> Agreement <br /> "Joint Powers Agreeme u t"means the Joint Exercise of Powers Agreement by <br /> and between the City and the Housing Authority of the City of Pleasanton, dated June 29, 1993, <br /> as originally executed and as it may from time to time be amended or supplemented pursuant to <br /> the provisions hereof and thereof <br /> "Maximum Annual Debt Service" shall have the meaning set forth in the <br /> Agreement <br /> "Net Proceeds" shall have the meaning ascnbed to such term in the Agreement <br /> "Opinion of Counsel"means a written opinion of counsel of recognized national <br /> standing in the field of law relating to municipal bonds, appointed and paid by the Authority <br /> "Original Purchaser" means JPMorgan Chase Bank,N A , its successors and <br /> assigns <br /> "Outstanding," when used as of any particular time with reference to Bonds, <br /> means (subject to the provisions of Section 7 02) all Bonds except <br /> (1) Bonds theretofore cancelled by the Trustee or surrendered to the Trustee <br /> for cancellation, <br /> (2) Bonds paid or deemed to have been paid within the meaning of Section <br /> 9 01, and <br /> (3) Bonds in lieu of or in substitution for which other Bonds shall have been <br /> executed, issued and delivered by the Authority pursuant hereto <br /> -4- <br /> 2762680 2 <br />
