INDEMNIFICATION AGREEMENT <br />Sunrise Pleasanton CA Senior Living, LLC <br />5700 Pleasant Hill Road <br />THIS INDEMNIFICATION AGREEMENT is entered into this day of 017, by and <br />between Arbor Building Group 3650 Mount Diablo Blvd. Suite 200, Lafayette, CA 9 49actor") and <br />the CITY OF PLEASANTON ("City"). <br />WHEREAS, Sunrise Pleasanton CA Senior Living, LLC ("Owners") have a PUD approved by the <br />City for the location identified above, a copy of which is on file in the office of the City Engineer, and by <br />reference is incorporated into this Agreement; and <br />WHEREAS, the PUD conditions of approval require Owners to construct and dedicate public <br />improvements at Owner's cost as set forth in the attached Public Improvement Agreement, which is <br />incorporated as Exhibit A ("Public Improvement Agreement"): and <br />WHEREAS, Arbor Building Group ("General Contractor') has an agreement with Owners to construct <br />improvements as per RID and the project construction plans approved by the City <br />WHEREAS, as required by the Public Improvement Agreement, Contractor is required to indemnify the <br />City and provide insurance for claims arising from the Contractor's work in constructing and installing the <br />public improvements described in the Public Improvement Agreement; <br />NOW, THEREFORE, the parties agree as follows: <br />1.Indemnification. Contractor agrees to indemnify, defend and hold harmless the City, its elective <br />and appointive Boards, Commissions, officers, agents and employees in the same manner as the Owners as <br />described in Section 11 of the Public Improvement Agreement. <br />2.Insurance.
