8. Compliance with Laws. HOA shall obtain and maintain all permits and approvals required for <br /> the activities under this Agreement and shall comply with all applicable laws now in effect or that <br /> become effective during the term of this Agreement. <br /> 9. Governing Law; Attorneys' Fees. This Agreement shall be enforced in accordance with the laws <br /> of the State of California. In the event that either party institutes any action, suit or other dispute <br /> resolution proceeding based on this Agreement against the other party, the prevailing party is entitled <br /> to receive all associated costs and expenses, including but not limited to reasonable attorneys' fees <br /> (including City's in-house legal counsel costs) and courts costs. The venue for any action to interpret or <br /> enforce this Agreement shall be the appropriate court in Alameda County, California <br /> 10. Duration. This Agreement furthers the intent of an ongoing maintenance obligation under the <br /> CC&Rs, and said maintenance obligation is a covenant that runs with the land and is binding upon the <br /> transferees, successors, and assigns of those bound by the those CC&Rs.
