VII. INDICATION <br /> <br /> C1Tlg-q agree to defend, indemnify, and hold harmless the COUNTY, its <br />officers, employees and agents, from any and all acts, claims, omissions, liabilities and <br />losses by whomever asserted arising out of acts of omissions of crrlES in the <br />performance of the scope of work except those arising by reason of the sole negligence <br />of the COUNTY, its officers, employees or agents. <br /> COUNTY agrees to defend, indemnify and hold harmless CITIF~q, their <br />officers, employees and agents, from any and all acts, claim.% liabilities and losses by <br />whomever asserted arising out of acts or omissions of the COUNTY in the performance <br />of the scope of work except those arising by reason of the sole negligence of CITIES, <br />their officers, employees and agents. <br /> <br /> This agreement shall commence on Jan;,ary 2, 1996, and s]nail continue for <br />three (3) years thereafter unless terminated. Either the OPERATOR or the <br />PARTICIPATING ENTITIES may terminate this agreement on June 30 of any year by <br />written notice on or before January 15 of said year. <br /> Termination initiated on behalf of the PARTICIPATING EN'IHI~.S shall <br /> <br /> require a majority vote. <br /> Upon termination of this agreement, interests in furnishings and equipment <br /> will remain with the PARTICIPATING ENTITIES. <br /> <br /> This agreement may be modified in wriRng by mutual agreement of all <br /> <br />parties hereto. <br /> <br />B - 9 <br /> <br /> <br />
