CITY understands and agrees that the aforestated fee is subject to periodic review and revision, according to the policy set forth by the Alameda County Board of Supervisors. CITY hereby agrees to pay the fee established by the Alameda County Board of Supervisors. CITY understands and agrees that COUNTY is not selling tax information, but rather only recovering COUNTY's actual costs of assembling and copying the aforestated tax information and the cost of developing and providing any Assessor's property characteristics information included therewith, including any computer programming associated therewith. 7) BII~Ii~: Monthly, net 30 days from date of billing. 8) '£~ OF A~T~ Contract will remain in effect until termination by either party in written form. Ail finished work at time of termination shall be billed within 30 days. 9) ~OLD~A~.~-e,M CI~USE: CITY hereby agrees to defend, save, hold harmless and indemnify COUNTY and its officers, employees and agents, against claims by anyone for any loss, injury, damage, risk, cause of action or liability of any type (including legal fees) occurring to CITY or any other person, relating to or arising out of the subject matter of this Agreement, or which may be alleged to have been caused, either directly or indirectly, by the acts, conduct, omissions, negligence or lack of good faith of COUNTY, its officers, agents or employees in any way related to or arising out of the subject matter of this Agreement. COUNTY is not responsible for delay or failure to render service due to causes beyond the COUNTY's control. 10) DEFENSES OF CO~NT~: User understands and agrees that this is the entire agreement and that nothing may be stated or done by any COUNTY employee, agent or official shall be deemed to waive or toll any statute of limitations, waive any defense or in any way stop the COUNTY from asserting any and all defenses provided by law or this Agreement 11) mXMALg/I~IT~ USg PROHIBITI~: CITY agrees not to give, offer, sell, rent, license, copy, lease or otherwise relinquish possession of any tax information data in its entirety on magnetic tape, magnetic disk or other computer readable form to any person or persons other than CITY's employees or agents. 12) SI~NATDRES: Date CITY, by ~'~'~ City M--m~gr Deborah Acosta Title who represents he has full authority to enter into this agreement on behalf of CITY by virtue of (1) the articles of incorporation, by-laws or a resolution of the board of directors, (2) the partnership agreement or approval of all general partners, (3) approval of the proprietor or owner, or (4) approval of the governing board of the city, county, district or agency.
