4. That this cause as outlined below. may be terminated upon 60 ~written notice for COUNTY or FAIR BOARD may terminate the Agreement upon closure of the Fairgrounds, or significant curtailment or modification of County Fair or other activities conducted on the Fairgrounds. In the event the County or Fair Board terminates this agreement, the City shall have no further obligation or duty to accept, transport or treat sewerage generated on the grounds of the Alameda County Fair property, nor shall the City be required to reserve capacity for that property in the City's pipelines or in the City's share of capacity at the DSRSD Sewage Treatment Plant or any other treatment facility. This Agreement may also be terminated by mutual consent of all three parties. SECTION IV 1. Each of the provisions of this agreement is to be considered material and a waiver of any provision or provisions by any party does not constitute a waiver of the contract's remaining provision. Failure to comply with any such provision by any party will be considered a breach of the contract. 2. This agreement may be enforced in law or equity, including the enjoining of acts required or prohibited hereunder.
