City Conveyance of Parcel A-2 Adjacent to G-l-1 Channel. city shall quitclaim to Zone 7 all of its right, title and interest in that certain real property consisting of approximately 1.0775 acres (a portion of APN 941-1302-2-222) in the form attached hereto as Exhibit "A-2" ("Parcel A-2" also designated as "R/W No. 7568") located between Stoneridge Drive and the G-l-1 Channel reserving all existing easements as shown on Exhibit A-2. Zone 7 agrees to comply with City's design review procedures in the development of Parcel A-2. 3. Zone 7 Conveyance of Parcel B-2 (Transverse Crossing of Canal). Upon request by the City within 25 years of the execution of this agreement, Zone 7 shall convey to the City a 64 ft. transverse right-of-way easement in gross across the G-l-1 Channel at a point perpendicular to Parcel A-1 and extending through Parcel A-1 ("Transverse Easement"). The Transverse Easement shall be at a location to be specified by the city subject to reasonable review and approval of the location by Zone 7. Zone 7 shall have the right to reasonably review and approve and bridge structure or other encroachment within the area of the Transverse Easement which affects the flow of water within the G-l-1 Channel or the maintenance thereof. 4. Zone 7 Conveyance of Parcel B-1 (Portion of Pleasanton Canal). Zone 7 shall quitclaim to the City all its right, title and interest in that certain real property consisting of 1.89 acres (a portion of APN 946-3215-4) as shown and described in Exhibit "B-l" ("Parcel B-i" also designated as "R/W No. 7530"). Parcel B-1 is the southerly portion of the Pleasanton Canal and City owns the northerly portion of the Pleasanton Ca~al at that location. 5. City Reconveyance of Access Easement Through Pleasanton Canal. City plans to have a parking facility constructed over the Pleasanton Canal which covers a portion of Parcel B-1 and adjacent City lands, city shall convey to Zone 7 the perpetual, non-exclusive easement and right-of-way for ingress and egress of pedestrians, vehicles, and equipment for the purpose of facilitating the installation, maintenance and inspection of that certain water supply facility known as Hopyard Well Field over, along, and across that certain real property (a portion of APN 946-3215-3-3, APN 946-3215-4, and APN 941-800-4-5) in the form attached hereto as Exhibit "C-I" ("Parcel C-l"). 6. Right of Entry. Upon execution of this Agreement by all parties, each party hereto shall be entitled to and shall thereafter have a right of entry and may initiate construction on the parcels to which that party is to receive title pursuant to this agreement. 7. Recordation. Ail conveyances made pursuant to this Agreement shall be in recordable form and may be recorded by either party. - 2 -
