and City ~gree not to contest the validity of this Agreement <br />against each other. <br /> <br /> (c) In the event that a court determines <br />that any Sewer Permits revert to the City based upon a <br />finding that this Agreement is invalid, the City agrees to <br />sell such sewer capacity to Owner for payment of the then <br />applicable sewer connection fees. The City's obligation <br />pursuant to this subparagraph is separate and severable from <br />the other terms and conditions of this Agreement. <br /> <br /> 6. Bindin~ Effect; Assignment. This Agreement, <br />and all of the terms and conditions hereof, shall be binding- <br />upon and inure to the benefit of the parties and their <br />respective assigns, heirs or other successors in interest. <br /> <br /> 7. Amendment or Cancellation. This Agreement <br />may be amended or canceled in whole or in part only by <br />mutual consent of the City and the Owner frc~ time to time <br />of the Property, it being understood that no other consent <br />or approval shall be required of any other party. <br /> <br /> 8. Notices.
