Real Property is located, provided said standards do not materially <br />affect Property Owner's ability to perform or proceed with the develop- <br />ment contemplated by this Agreement. <br /> <br /> 15. Periodic Review of Compliance With Agreement. <br /> <br /> (a) City shall review the Project set forth in this Agree- <br />ment at least once every 12 month period from the date this Agreement is <br />executed. . <br /> (b) During each periodic review by City, the Property Owner <br /> is required to demonstrate good faith compliance with the terms of <br /> this Agreement. <br /> (c) If Property Owner fails to correct or modify any sub- <br /> stantial breach or noncompliance with the term of this Agreement, City <br /> may terminate or modify this Agreement. <br /> (d) City shall take no action to terminate or modify this <br /> Agreement until the expiration of 90 days after City gives notice to <br /> Property Owner that it must bring the Project to compliance or propose <br /> modifications that are satisfactory to City, and Property Owner fails <br /> to do so within said 90 days. <br /> 16. A~endment or Cancellation of Agreement. This Agreement may <br /> be amended or cancelled in whole or in part only by mutual consent of the <br /> parties and in the manner provided for in Govt. Code sections 65867, <br /> 65867.5 and 65868. <br /> 17. yalidit_~. If any term or condition of this Agreement is for <br /> any reason held by the final judgement of a court of competent juris- <br /> diction to b~ invalid, and if the same~constitutes a material change <br /> in the consideration for this Agreement, then the parties shall renego- <br /> tiate the affected terms in order to permit the parties to carry out <br /> <br />the terms of this Agreement. <br /> <br />7 <br /> <br /> <br />
