WHEREAS, Mozart has an unused and outstanding <br />entitlement to thirty-two (32) D.U.E.'s of sewer capacity <br />applicable to Phase Two of the Stoneridge Corporate Plaza I <br />development on Stoneridge Mall Road, which capacity is governed <br />by the terms of the Mozart Amended Development Deferment <br />B. WHEREAS, Paragraph 3.C.(3) of the Agreement allows <br />the thirty-two (32) D.U.E.'s to be transferred at any time to <br />"Parcel 1" (an adjoining property now known as Parcel 2 of Parcel <br />Map 5470), provided that such transfer does not prevent the <br />expiration of such permits in accordance with the schedules set <br />forth in the Agreement; and <br />C. WHEREAS, Crocker Properties, Inc., a California <br />corporation, has entered into an agreement to purchase Parcel 2 <br />of Parcel Map 5470 from Stoneridge ZI, a California general <br />partnership, its present owner; and <br />D. WHEREAS, Mozart now desires to transfer fourteen <br />(14) D.U.E.'s of its remaining unused sewer entitlement from <br />Stoneridge Corporate Plaza I to Parcel 2 of Parcel Map 5470 so as <br />to allow these sewer permits to be utilized by the owner of <br />Parcel 2 in conjunction with the development of that Parcel. <br />G:\PB\1204CJB. 174/12JU190a <br />1. <br />/53 (oZ d <br />
