condemnation of the public street left a remainder of vacant
land on the entire property more or less to the south and
southeast of the existing motel building on the southerly
portion of the entire property ("P.U.D. Area"). Pursuant to
Section 2.F of the Settlement Agreement, the City agreed to
immediately consider adoption of an ordinance approving a
Development Agreement for the P.U.D. Area. The Settlement
Agreement conceptually approved the right to subdivide and
use the P.U.D. Area. The P.U.D. Area is shown by such
designation on Exhibit 2 attached hereto and incorporated
herein by reference. (Exhibit 2 is the same as Exhibit "C"
to the Settlement Agreement).

D. All procedures relating to this Development Agreement
have been followed in accordance with the law.

E. It is to the advantage of both parties and
consistent with good planning practice to prevent future
disputes which could result from the creation of an unusual
remnant of vacant land caused by the City's eminent domain

action.

F. On April 10,
Pleasanton found that
with the General Plan,

1984, the City Council of the City of
the Development Agreement is consistent

any applicable specific plans, and

the zoning, subdivision and other applicable regulatory
ordinances of the City of Pteasanton.

G. On April 24, 1984, the
Pleasanton, adopted Ordinance No.

City Council of the City of
1135 _ approving this

-2-
