action by a governmental agency, the three-year deadline for
obtaining building permits will be extended for an amount of time
equal to the time specified in the written contract.

E. It is in the public interest that construction in
Pleasanton takes place in an orderly and well-planned manner.
Land use and circulation system changes have recently taken place
in the vicinity of the Property, making its most desirable use
uncertain at this time. In order to allow Developer time to
perfect plans and studies of the proposed development of the
Property to reflect the changing circumstances in North
Pleasanton, it is in the public interest that the parties agree
that no building permits will be issued on the Property prior to
March 27, 1988.

NOW, THEREFORE, in consideration of the mutual provisions and
the sum of One Thousand Dollars ($1,000.00) being paid to
Pleasanton as a processing fee concurrently herewith, the parties
agree as follows:

1. No building permits will be issued on the Property prior
to March 27, 1988.

2. The effect of this Agreement is to extend until April 6,
1988, the time within which building permits can be obtained for
the Property by Developer without the expiration of all or any
portion of the eight (8) Sewer Permits.

3. Nothing herein shall preclude Developer from connecting
existing structures now served by septic tank to the sanitary
sewer system and using all or a portion of the eight (8)
sewer-system connection permits for this purpose.

- 2 -
