MISCELLANEOUS AGREEMENTS 4660 13.1 Entire Agreement 4661 This Agreement, including the Exhibits, represents the full and entire Agreement between the Parties with 4662 respect to the matters covered herein, and shall replace and supersede all previous agreements or 4663 understandings whether written or otherwise between the Parties. 4664 13.2 Section Headings 4665 The article headings and section headings in this Agreement are for convenience of reference only and 4666 are not intended to be used in the construction of this Agreement nor to alter or affect any of its 4667 provisions. 4668 13.3 References to Laws 4669 All references in this Agreement to laws shall be understood to include such laws as they may be 4670 subsequently amended or recodified, unless otherwise specifically provided. 4671 13.4 Interpretation 4672 This Agreement shall be interpreted and construed reasonably and neither for nor against either Party, 4673 regardless of the degree to which either Party participated in its drafting. 4674 13.5 Amendment 4675 This Agreement may not be modified or amended in any respect except in writing, signed by the Parties. 4676 13.6 Severability 4677 If any non-material provision of this Agreement is for any reason deemed to be invalid and unenforceable, 4678 the invalidity or unenforceability of such provision shall not affect any of the remaining provisions of this 4679 Agreement which shall be enforced as if such invalid or unenforceable provision had not been contained 4680 herein. 4681 13.7 Counterparts 4682 This Agreement may be executed in counterparts each of which shall be considered an original. 4683 13.8 Exhibits 4684 Each of the Exhibits identified as Exhibits "A" through “O” is attached hereto and incorporated herein and 4685 made a part hereof by this reference. 4686
