5 of 6 <br />5.Supplemental illustrative exhibits such as physical models,computer renderings,three <br />dimensional animations,virtual reality models,professional renderings,etc.may be produced <br />and presented upon the request of the Client as additional expense to be defined prior to <br />authorization. <br />7.Payment <br />Billing will be presented monthly in proportion to the work completed.Payments are due within 30 <br />calendar days of invoice date.Outstanding invoices will incur interest charges at the rate of 3%per <br />month. <br />8.Insurance <br />The following are VMWP’s standard Insurance: <br />Workers Compensation Insurance:$1,000,000 As required by the State of California <br />Auto (Combined Single Limit):$1,000,000 <br />Comm’l.Gen’l.Liability:Single Limit:$1,000,000 <br />Aggregate:$2,000,000 <br />Professional Liability (E&O):$5,000,000 (Aggregate) <br />A generic certificate of insurance is attached at Exhibit B.VMWP’s policies shall name City of <br />Pleasanton as additionally insured to the reasonable ability of our insurance carriers. <br />9.Assignment of Contract and Services <br />VMWP and the City of Pleasanton respectively bind themselves,their successors,assigns and legal <br />representatives to the other party to this Agreement.VMWP acknowledges and consents to the <br />assignment of this agreement and associated contractual rights and obligations by the undersigned <br />Owner to a direct or indirect subsidiary entity of the City of Pleasanton,provided that the successor <br />entity shall be bound by this agreement and liable for all enumerated obligations. <br />The undersigned parties shall not assign nor transfer any interest in this Agreement nor delegate any <br />duties under this Agreement without providing prior notifications to and receiving prior written <br />consent of all other parties to this Agreement. <br />11.Termination and Authorization to Proceed with Partial Scope <br />In relation to the above project,VMWP and City of Pleasanton cannot negotiate a final contract until <br />such time as a program and development design has been developed and City of Pleasanton has <br />secured partial financing for this project.However,City of Pleasanton hereby authorizes VMWP LLP to <br />proceed with the above Scope of Services. <br />VMWP LLP will proceed with the above services subject to each of the following: <br />1.Either party shall be entitled to terminate this agreement by seven days written notice to the <br />other party.In that event,City of Pleasanton shall be obligated to reimburse VMWP,LLP for expenses <br />incurred prior to the termination notice and through the seven day noticing period.The amount <br />payable shall be based on the attached hourly rate schedule. <br />Docusign Envelope ID: F6348CE0-B9B9-4C94-A0EC-45FC81964DE5Docusign Envelope ID: 215F4A13-DFE6-4BAA-B6C5-BA14B1AB9171
