April 1, 2025 40 City of Pleasanton/GreenWaste Recovery, LLC 8.3 Process for Setting and Adjusting Tipping Fees 1537 A. General. The City shall be responsible for approving Per-Ton Tipping Fees as described in this Article. Such 1538 approval or denial shall only be made on the basis of Contractor’s mathematical accuracy and logical 1539 adherence to the calculation methodology. 1540 B. Definitions. For the purposes of this Section, the following terms shall be defined as follows: 1541 (1) “Annual Percentage Change” means the Average Index Value of an index for the twelve- (12-) month 1542 period ending February of the then-current Rate Period minus the Average Index Value for the twelve- 1543 (12-) month period ending February of the most -recently completed Rate Period, divided by the 1544 Average Index Value for the twelve- (12-) month period ending February of the most-recently 1545 completed Rate Period. The Annual Percentage Change shall be rounded to the nearest thousandth 1546 (0.000). 1547 (2) “Average Index Value” means the sum of the monthly index values during the twelve- (12-) month 1548 period ending in February divided by twelve (12) (in the case of indices published monthly) or the sum 1549 of the bi-monthly index values divided by six (6) (in the case of indices published bi-monthly). 1550 (3) “Consumer Price Index” or “CPI ” means the All Urban Consumers Index (CPI-U) compiled and published 1551 by the U.S. Department of Labor, Bureau of Labor Statistics or its successor agency, using the following 1552 parameters: 1553 Area – San Francisco-Oakland-Hayward Metropolitan Area 1554 Item – All Items 1555 Base Period – Current 1982-84=100 1556 Not seasonally adjusted 1557 Periodicity – Bi-monthly 1558 Series ID – CUUSS49BSA0 1559 1560 C. Tipping Fees for Rate Period One. Per-Ton Tipping Fees for Rate Period One, which are presented in Exhibit 1561 G, were determined by Contractor and the City and were approved along with the Agreement. The Tipping 1562 Fees for Rate Period One shall be effective from _________________. 1563 D. Annual Adjustment. The Tipping Fees shall be adjusted annually, upon approval by the City Manager as 1564 described in Section 8.3.A, commencing with Rate Year Two (July 1, 2026) through the remaining Term of 1565 this Agreement including any extension periods. The Tipping Fee shall be adjusted annually on the basis of 1566 one hundred percent (100%) of the Annual Percentage Change in the Consumer Price Index. The following 1567 formulas shall be used to calculate the adjustment to the Tipping Fee. 1568 P = ((A-C) x (1+B)) + D 1569 A = The Tipping Fee in effect immediately prior to the Adjustment Date. 1570 B = The Annual Percentage Change in the CPI-U. 1571 C = The Governmental Component in effect immediately following the prior Adjustment Date. 1572 D = The Governmental Component in effect immediately following the Adjustment Date. 1573 P = The adjusted Tipping Fee for the new Rate Period. 1574
