April 1, 2025 57 City of Pleasanton/GreenWaste Recovery, LLC ARTICLE 14 2180 MISCELLANEOUS PROVISIONS 2181 14.1 Entire Agreement 2182 This Agreement, including the Exhibits and any Attachments or Appendices, represents the full and entire Agreement 2183 between the Parties with respect to the matters covered herein. 2184 14.2 Amendment 2185 Neither this Agreement nor any provision hereof may be changed, modified, amended, or waived except by written 2186 agreement duly executed by both Parties. 2187 14.3 Section Headings 2188 The Article and Section headings in this Agreement are for convenience of reference only and are not intended to 2189 be used in the construction of this Agreement nor to alter or affect any of its provisions. 2190 14.4 References to Laws 2191 All references in this Agreement to laws shall be understood to include such laws as they may be subsequently 2192 amended or re-codified, unless otherwise specifically provided. 2193 14.5 Interpretation 2194 This Agreement shall be interpreted and construed reasonably and neither for nor against either Party, regardless 2195 of the degree to which either Party participated in its drafting. 2196 14.6 Severability 2197 If any clause, provision, Subsection, Section, or Article of this Agreement is for any reason deemed to be invalid and 2198 unenforceable by any court of competent jurisdiction, the invalidity or unenforceability of such portion shall not 2199 affect any of the remaining parts of this Agreement, which shall be enforced as if such invalid or unenforceable 2200 portion had not been contained herein. 2201 14.7 Further Assurance 2202 Each Party agrees to execute and deliver any instruments and to perform any acts as may be necessary or reasonably 2203 requested by the other in order to give full effect to this Agreement. 2204 14.8 Counterparts 2205 This Agreement may be executed in counterparts each of which shall be considered an original. 2206
