Amendment to Services Agreement <br /> <br /> <br /> <br />This Amendment to the Services Agreement by and between City of Pleasanton <br />and Traliant Holdings __ day of November 2021 <br /> <br /> <br />The purpose of this amendment is to extend the Services Agreement dated November 17, 2020 by <br />one (1) year. Accordingly, the Agreement is amended as follows: <br /> <br /> Article 2(a), Training Programs, shall be deleted in its entirety and replaced with the <br />following: <br /> <br />Training Programs. Customer agrees to pay $6,700.00 per year for 500 employee licenses, to <br />Traliant's proprietary online course(s): Preventing Discrimination & Harassment. Customer may <br />purchase additional employee licenses, a minimum of 5 at a time, at a cost of $13.40 per <br />employee. <br />Taxes. Customer shall be responsible for all applicable sales, use, value added or similar taxes, <br />if any, payable with respect to the Services provided under this Agreement or arising out of or in <br />connection with this Agreement whether at the time of invoicing or later determined by a taxing <br />income or gross receipts, for any personal property taxes on property it owns or leases, and for <br />franchise and privilege taxes on its business. The Parties agree to cooperate with each other to <br />enable each to more accurately determine its own tax liability and to minimize such liability to <br />of any taxes <br />Traliant is collecting from Customer. Customer will be entitled to any tax refunds or rebates <br />granted to the extent such refunds or rebates are of taxes paid by Customer <br /> <br /> Article 3(a), Implementation Package, shall be deleted in its entirety and replaced with the <br />following: <br /> <br />Implementation Package This fee covers importing company logo, attaching company policy, <br />building and publishing each course, setting up and launching the assigned training via our LMS. <br />Customer agrees to pay $795.00 for implementation fees for Preventing Discrimination and <br />Harassment. <br /> <br /> Article 7(a), Term, shall be deleted in its entirety and replaced with the following: <br /> <br />(a) Term. The Term of this Agreement will expire on November 16, 2022.
