ATTACHMENT 1 <br /> <br /> <br /> <br /> <br />DESIGN PROFESSIONAL SERVICES AGREEMENT <br />FOR: Quiet Zone Feasibility Study and Design Consulting Services <br /> <br /> <br /> <br /> THIS DESIGN PROFESSIONAL SERVICES AGREEMENT (“Agreement”) is entered <br />into this day December 16, 2025, between the City of Pleasanton, a municipal corporation <br />("City"), and Kimley-Horn and Associates, Inc. whose address is 10 S. Almaden Blvd., Suite <br />1250 San Jose, CA 95113, and telephone number is (669) 800-4130, ("Consultant"). <br /> <br /> <br />RECITALS <br /> <br /> A. Consultant is qualified and experienced in providing professional design services for <br />the implementation of a Quiet Zone as specified in this Agreement. <br /> <br /> B. City finds it necessary and advisable to use the services of Consultant for the purposes <br />provided in this Agreement. <br /> <br /> NOW, THEREFORE, in consideration of the mutual covenants and conditions in this <br />Agreement, City and Consultant agree as follows: <br /> <br />1. Consultant's Services. Consultant shall diligently perform the services described in Exhibit <br />A, Scope of Work, attached and incorporated to the extent consistent with this Agreement. <br /> <br />2. City Assistance. Except as set forth in Exhibit A, Consultant shall, at its sole cost and <br />expense, furnish all facilities and equipment that may be required for furnishing services <br />pursuant to this Agreement. City shall furnish to Consultant only the facilities and equipment <br />listed in Exhibit A according to the terms and conditions set forth in Exhibit A. <br /> <br />3. Staff. Consultant shall assign Blake Silkwood, PE, QSD to serve as the Project Manager, who <br />may not be replaced without written consent of City. <br /> <br />4. Term. Time is of the essence. Consultant shall begin work on December 20, 2025. The work <br />as described in Exhibit A, Scope of Work, shall be completed by December 31, 2027. <br /> <br />5. Compensation. For the services to be rendered, City shall pay Consultant as described more <br />particularly in Exhibit B, which is attached and incorporated to the extent consistent with this <br />Agreement. Payment shall be made on a monthly basis upon receipt and approval of <br />Consultant's invoice. Total compensation for services and reimbursement for costs shall not <br />exceed $168,857.53 unless the parties agree pursuant to Section 8, below. <br /> <br />a.
