The agreements authorize use of the roadway for the
purposes specified therein and establish updated maintenance responsibilities, operational
standards, and insurance and indemnification requirements.

The prior Maintenance Agreement, executed on August 4, 1994, expired on August 4, 2024.
Staff has prepared an updated License Agreement reflecting current City standards. Staff
recommends that the City Council authorize the City Manager to execute the renewed license
agreements.

RECOMMENDATION
Authorize the City Manager to execute License Agreements for the use of Santos Ranch
Road.

BACKGROUND
Santos Ranch Road was constructed using funds from the Pleasanton Township County
Water District Assessment District No. 3. Following the dissolution of the Pleasanton Township
County Water District, the City of Pleasanton became the successor agency and assumed
ownership of the roadway.

The County of Alameda and the City of Hayward subsequently quitclaimed their respective
interests in Santos Ranch Road to the City. As a result, the City holds fee title ownership of
Santos Ranch Road as a private roadway. The roadway does not meet minimum design
standards for use as a public street and is therefore not open to the general public. Access is
controlled by an automatic gate.

In 1994, the City entered into a Maintenance Agreement with eleven (11) other parties that
utilize Santos Ranch Road. These parties include residential property owners who access their
homes via the roadway, the East Bay Regional Park District for access to park property, and
telecommunication and cellular service providers that maintain facilities on City-owned
property accessible from the roadway. The 1994 Agreement established maintenance
responsibilities, cost-sharing provisions, and operational standards among the parties for a
term of twenty-five (25) years. A central component of the agreement was the requirement that
all parties maintain insurance and provide indemnification to protect the City from liability
arising from their use of the roadway.
