Third Amendment Page 1 <br />THIRD AMENDMENT TO AGREEMENT <br />This Third Amendment to Agreement ("Third Amendment") is entered into this _13th_ day of <br />March 2026 by the City of Pleasanton ("City") and Carollo Engineers, Inc. ("Consultant”) <br />Whereas, on May 17, 2022, the City and Consultant entered into a Professional Services <br />Agreement to prepare the Water System Management Plan, as amended by the First Amendment <br />dated January 29, 2024 and the Second Amendment dated January 16, 2025, to extend the term <br />through December 31, 2025 ("collectively the Agreement"); and <br />Whereas, the parties desire to amend the Agreement to extend the term and provide for <br />additional compensation to assist in implementation of the City’s disinfection byproduct <br />mitigation program. <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />1.Section 1 of the Agreement (Consultant’s Services) is amended to add the services <br />specified in Exhibit A of this Third Amendment. <br />2.Section 3 of the Agreement (Terms) is amended to provide that the Agreement shall <br />expire on December 31, 2026. <br />3.Section 4 of the Agreement (Compensation) is amended to read, by increasing the <br />total cumulative compensation amount, with a not to exceed limit from $999,750 to <br />$1,074,750 and amend the fee schedule as specified in Exhibit A of this Third <br />Amendment. <br />4.This Third Amendment may be executed in multiple counterparts, each of which shall <br />be an original and all of which together shall constitute one agreement. Counterparts <br />may be delivered via facsimile, electronic mail (including pdf or any electronic <br />signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et <br />seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et <br />seq.), or other applicable law) or other transmission method, and any counterpart so <br />delivered shall be deemed to have been duly and validly delivered and be valid and <br />effective for all purposes. <br />5.All other terms and conditions of the Agreement shall remain in full force and effect. <br />In witness whereof, authorized representatives of the parties have executed this Third <br />Amendment to the Agreement as of the date first above written. <br />Docusign Envelope ID: 271FE856-C5AE-4E67-BBDD-ED81F3311151
