1 <br /> <br />AMI OPX AGREEMENT FOR GOODS / SERVICES <br /> <br />FOR WATER METER REPLACEMENT & AMI SYSTEM PROJECT <br />RFP PWD 25.604 <br /> <br />THIS AGREEMENT is made and entered into this __________ day of June 2026, by and <br />between Core & Main LP ("Prime Contractor"), whose address is 3486 Investment Blvd. Unit A, <br />Hayward CA 94545, and telephone number is (510) 244-5858 and the City of Pleasanton, a <br />municipal corporation ("City"). <br /> <br />In consideration of the mutual promises set forth in this Agreement, the parties agree as follows: <br /> <br />1. Work to be Performed. The work will generally consist of overseeing a turnkey <br />delivery of an advanced water meters solution which includes the supply and installation <br />of non-mechanical water meters and radio transmitters as well as an advanced metering <br />infrastructure software and related training services. <br /> <br />The CONTRACTOR agrees to provide the personnel, software, materials, equipment and <br />labor (hereinafter "work") necessary to perform the services described in PWD’s Request <br />for Proposals #PWD-25.604 -Water Meter Replacement and AMI System Installation <br />Project – CIP #26137 dated November 19, 2025 and issued by the City of Pleasanton, <br />CA, and also in accordance with CONTRACTOR's Proposal dated January 12, 2026. A <br />copy of said RFP (Exhibit G) and the CONTRACTOR’s Proposal and Supplemental <br />Documents is attached hereto as Exhibit D incorporated herein by reference. <br /> <br />The restatement in this Agreement of any of the terms of said Specifications or Proposal <br />shall not be deemed to waive any terms not so restated. In the event of any inconsistency <br />or conflict in the contents of the following documents, such documents shall take <br />precedence and govern in the following order: <br /> <br />a) Agreement For Goods / Services <br />b) Exhibit A: Scope of Work OPX (as negotiated) <br />c) Exhibit B: Price Form - OPX (as negotiated) <br />d) Exhibit C: Kamstrup North America Product Warranty Model with Warranty for <br />Serial Defects <br />e) Exhibit D: C&M Response to Pleasanton dated January 12, 2026 <br />f) Exhibit E: Request for Proposals #PWD-25.604 -Water Meter Replacement and AMI <br />System Installation Project – CIP #26137 <br />g) Exhibit F: READy License and Hosting Agreement US <br /> <br />2. Term. This Agreement shall commence on the date written above and will expire 20 years <br />from that same date. <br /> <br />3. Core & Main’s Responsibilities. Core & Main shall provide all Work as described in this <br />Agreement. Without limiting the generality of the foregoing, Core & Main shall maintain <br />supervision of all its subcontractors.
